If Distributor/ Independent Channel Partner relies on any promises made by another Distributor/ Independent Channel Partner trying to sell him or her the games that are not in this Agreement, and that approaching Distributor/ Independent Channel Partner fails to keep any such promise, the Distributor/ Independent Channel Partner shall only have recourse against such recruiting Distributor/ Independent Channel Partner and not the Company. |

| Rights and Responsibilities |

Ltd. On the acceptance of Application to be a free lancer Distributor/ Independent Channel Partner will be eligible to collect commissions. Distributor/ Independent Channel Partner understands that to earn commissions in the Program, Distributor/ Independent Channel Partner is responsible for generating business for his/her self and gurussr.com / Guru SSR India Distributor Pvt. Ltd. To do this, Distributor/ Independent Channel Partner will personally refer games to others in the program and will build his or her Sales team. |

| Representation |
| Distributor/ Independent Channel Partner understands that although Distributor/ Independent Channel Partner may refer other Distributor/ Independent Channel Partners into the gurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. Program, the Program does not allow Distributor/ Independent Channel Partner to profit solely from the activity of referring other Distributor/ Independent Channel Partners. Commissions are paid only on actual Game Sales that are made which were referred by Distributor/ Independent Channel Partner or by other Distributor/ Independent Channel Partners that fall into Distributor/ Independent Channel Partner's Network. Distributor/ Independent Channel Partner understands that any income Distributor/ Independent Channel Partner earns in gurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. is determined by Distributor/ Independent Channel Partner personal activity as a Distributor/ Independent Channel Partner. Distributor/ Independent Channel Partner understands that Sales commissions shall be paid only to the qualified selling Distributor/ Independent Channel Partner. Distributor/ Independent Channel Partner shall not make any income representations except those set forth herein or otherwise specifically set forth in official lgurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. material. Distributor/ Independent Channel Partner also understands that the cycle payment as displayed in the site, is only an indicative of earnings. The Orbit binary earnings shall fluctuate up to Rs. 50000/- only. | Sale/Transfer of Business Center |
| Distributor/ Independent Channel Partner understands that Games (except for those in Recharge Package) and/or a Business Center can neither be sold nor transferred to anyone else ever. |

| Unsolicited Ads |
| Distributor/ Independent Channel Partner shall not send unsolicited advertisements for the gurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. program or otherwise solicit related business by phone, fax or Internet in violation of the local Authority Rules. |

| Non-competition |
| The Distributor/ Independent Channel Partner agrees not to engage or approach any third party, either directly or indirectly via associates, or for work, which competes with the business interests of gurussr.com / Guru SSR India Distributor Pvt. Ltd. |

| Termination |
Distributor/ Independent Channel Partner may voluntarily terminate this Agreement by sending written notice at any time for any reason. If Distributor/ Independent Channel Partner once terminates this Agreement then Distributor/ Independent Channel Partner shall have to buy games afresh in order to become Distributor/ Independent Channel Partner again.
If Distributor/ Independent Channel Partner breaches any of the provisions of this Agreement, violates any applicable law or regulation or engages in any false, misleading or unfair trade practice, including but not limited to, making misleading income representations or making promises to potential Distributor/ Independent Channel Partners that can not be kept by Distributor/ Independent Channel Partner, (herein called Violation) any such Violation is grounds for the imposition of penalty, as more fully set forth hereafter. The Company may suspend Distributor/ Independent Channel Partner, including suspension of cheques earned at the time, pending investigation of any alleged Violation. |

| Penalty |

| Liability |
| GURU SSR INDIA DISTRIBUTOR PVT. LTD. Makes no warranties, express or implied, related to the products or services supplied hereunder or marketing materials sold, including but not limited to warranties of merchantability and fitness for a particular purpose. gurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. will not be liable to any Distributor/ Independent Channel Partner for indirect, incidental, special or consequential damages, such as (but not limited to) loss of profits or business interruption, arising out of or connected to the use of products or marketing materials provided to any Distributor/ Independent Channel Partner. The total liability of gurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. for any and all damages arising from or connected with this Agreement or the services, products or marketing materials provided to any Distributor/ Independent Channel Partner shall not exceed the total fees paid by the Distributor/ Independent Channel Partner to gurussr.com / GURU SSR INDIA DISTRIBUTOR PVT. LTD. during the 12-month period immediately preceding the initial occurrence of the event causing the damages. |

The Distributor/ Independent Channel Partner cannot assign, sub-license or otherwise transfer any of your rights under these terms. |

If any provision of these terms is found to be invalid by any court/ tribunal having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these terms, which shall remain in full force and effect. |

Failure by any party to exercise their rights or remedies under this Agreement does not constitute a waiver of that right or remedy. |

All data and personal details provided by you to the company must be accurate. The company reserves the right to terminate the agreement in the event any information given to the company is found to be misleading, false or inaccurate. You understand that all such data may be disclosed by the company for purposes of business, compliance with law/regulation or in order to prevent any illegal activity. |

It is expressly understood by the parties that performance under this agreement may be prevented by any act of God or force majored, including without limitation natural disasters, war, severe technical failures, government law or policy, which will not be construed by parties to mean failure to perform contractually. In such an event, all parties will take all possible steps to resume normal performance of obligations under this agreement. |
